These Terms of Use ("Terms") govern your access to and use of the Folio AI software provided by Quantus Labs Ltd ("we", "our" or "us"), the applications developed for Apple and Android devices and for other platforms that may be offered in the future (collectively, the "App"), its digital platform (hereinafter referred to as "Folio"), and the web services offered through the www.folioai.com domain and all related features (collectively, the "Services").
Please review these Terms before using the Services. You accept these Terms through the acceptance step presented when you create an account or make a purchase. Information on the processing of your personal data is set out in our Privacy Policy.
These Terms apply both to users who use the Services for business purposes ("business users") and to users acting as consumers. Whether you are a consumer is determined by the purpose of your use and the applicable law. These Terms do not limit any rights granted to consumers that cannot be excluded by contract.
Folio is a digital workspace, open to all users and in particular to small and medium-sized businesses and individual entrepreneurs, in which products are created, managed and made ready to share.
Folio enables users to create, edit and configure their products in one place; to improve their written and visual content with AI-powered tools; to create digital product catalogues, private or public storefronts and shareable content; and to receive order requests through their storefronts.
The Services may be used together or separately through the App and the web interface offered at www.folioai.com. The features of the Services, the AI models available and their scope may differ depending on the platform used, the purchase channel and the plan selected. The features included in your plan are shown on the purchase screen in accordance with section 7.
If you publish a catalogue or storefront or receive order requests through Folio, you are the seller of the product. You are responsible for the accuracy of product information, pricing, the lawfulness of the sale, delivery, and return and warranty obligations towards the buyer. Unless expressly agreed in a separate agreement, Quantus Labs Ltd is not a party to that sale. You are the controller of buyers' personal data relating to order requests received through your storefront; Quantus Labs Ltd processes such data as a processor solely for the purpose of providing the Services, on your behalf and in accordance with your instructions. It is your responsibility to inform buyers about the processing of their personal data and to ensure the necessary legal basis.
Your use of the content you create in Folio outside the Services, on third-party platforms or channels, is your decision and your responsibility. The rules and terms of those platforms apply; Quantus Labs Ltd is not responsible for the operation or rules of those platforms or for the consequences arising from the use of content on them.
We make commercially reasonable efforts to keep our Services highly available; however, uninterrupted or error-free service is not guaranteed. Sections 7, 10 and 12 apply to changes to and termination of the Services.
If you choose to take payments in your storefront, you do so through your own account with iyzico or Stripe. You contract directly with that provider, and its terms apply to you. Buyers' payments go straight to your provider account. Quantus Labs Ltd is not a party to those payments, holds no funds at any moment and takes no commission on your sales. Funds, provider fees, payouts, chargebacks, disputes and tax are matters between you, your provider and the buyer.
By connecting an account, you authorise us to do the following on that account in order to run your store's checkout:
For iyzico, you give us your API key and secret key. We check them with iyzico and store them encrypted. For Stripe, you link your account through Stripe Connect; we do not ask for or store your Stripe secret key.
If you disconnect iyzico or change your keys, keys that were used for a past payment stay stored, encrypted, so that refunds of those payments keep working. Keys no payment used are removed. No end date is currently set for keeping used keys. To stop them working, revoke them in your iyzico account. If you disconnect Stripe, we keep your Stripe account's identifier and your Stripe account stays as it is. To end our access, remove the connection in your Stripe account.
Taking payments requires an active Max plan. If your plan lapses, your stores take orders without payment and your connection stays saved. It starts working again when you renew. Refunds of payments already taken keep working.
In your organisation, the owner and organisation admins can connect an account, change keys, disconnect, refund and answer buyers' cancel requests. Other members can view payment settings and buyers' invoice details. Folio staff with platform administrator access can, for support, view your payment settings and buyers' invoice details, disconnect an account, refund a buyer, answer a cancel request and turn payments on for a store through your existing connection. They cannot connect an account or change keys on your organisation.
An account cannot be closed while it has open paid orders. When the account of a seller that takes payments is closed, store, order and payment records are kept, as described in our Privacy Policy.
To use Folio, you must provide accurate, current and complete information at registration. You may use the Services for personal or business purposes. You must be at least 18 years old. If you open an account on behalf of a business, you represent that you are authorised to bind the business to these Terms. You are responsible for the activities carried out through your account by you or by persons you authorise. Additional user access is subject to the user limits of the plan purchased; you must not share your login details with others and must add additional users through the user access provided by your plan.
You are responsible for protecting your login details and for using the security measures offered in your account. If you become aware of or suspect any unauthorised use of your account, please contact us immediately.
Your existing rights in the product images, descriptions, texts, brand elements and all other content you upload to Folio remain with you or with the relevant rights holders.
By uploading content, you grant us a worldwide, non-exclusive, royalty-free licence to process, host, display and reproduce that content, to distribute it in accordance with your sharing instructions and to make technically necessary modifications to it, solely for the purpose of providing the Services to you. To the extent necessary to provide the Services, a sublicence limited to these purposes may be granted to service providers acting on our behalf, including AI model providers.
Your content is displayed according to the sharing and visibility settings you choose. Products created in an organisation workspace may be viewed by the users in that organisation. This licence does not grant permission to use your content for independent advertising or promotional purposes. After content is deleted or the account is closed, the licence ends, except for the periods necessary for backup, security and legal retention requirements. When content is deleted, the sharing links on Folio are disabled; however, we have no control over copies previously downloaded or saved by third parties. The retention and deletion of personal data are described in the Privacy Policy.
You are responsible for the content published on the storefronts, catalogues and web pages you create on Folio and uploaded by you or by persons you authorise. Quantus Labs Ltd is not obliged to review or monitor such content before publication and is not responsible for it. We may take action in accordance with section 6 in respect of content reported or identified as unlawful. You represent that you hold all necessary rights to the content you upload and the necessary permissions from the persons appearing in images, and that the content does not infringe the intellectual property, privacy or other rights of third parties. Business users will indemnify Quantus Labs Ltd, including reasonable legal costs, against third-party claims arising from the content they upload infringing third-party rights. This obligation does not apply to the extent that the claim arises from our fault.
Folio may use third-party AI models and infrastructure services in addition to technologies developed by Quantus Labs Ltd. The rights in these components belong to the relevant rights holders.
Provided that you comply with these Terms and applicable law, you may use, edit and share the outputs you create through the Services for commercial purposes. Where we hold transferable rights in outputs, we assign them to you to the extent legally possible. This provision does not transfer rights belonging to third parties, and does not guarantee that every output will be protected by copyright or will be unique, or that other users will not obtain similar outputs. If a commercial use restriction applies to a particular feature, that restriction is clearly shown before the feature is used. Where required by law or applied technically, metadata or technical markers indicating that outputs were created with AI may be added to them.
AI systems work probabilistically; the same input may produce different results. Images, videos and texts may contain errors, omissions or differences from the reference. Some requests may be refused, or outputs restricted, due to safety filters, our content policies or the usage rules of third-party AI providers. For this reason, no credits are deducted for refused requests. It is not guaranteed that the colour, pattern, dimensions, shape, logo or other details of the product will be preserved exactly. It is your responsibility to check the accuracy of outputs, their suitability for your intended use and their compliance with third-party rights and applicable law before publication or commercial use. It is your responsibility to ensure that images created or edited with AI do not depict the actual characteristics of the products you offer for sale in a way that misleads buyers. You must not request outputs that imitate, without permission, or could be confused with third-party trade marks, protected works or well-known persons.
Liability relating to the use of AI outputs is assessed within the limits set out in section 9 and subject to reserved statutory rights. Section 7 applies to credit adjustments and refunds.
Anonymised and aggregated data derived from user interactions may be used to improve AI services. This provision does not permit unlimited use of user content or personal data for model training. The purposes for which personal data are processed, their sharing with AI service providers and, where applicable, their use for model training are described in the Privacy Policy and are subject to the necessary legal bases.
Uploading or distributing content that is unlawful, misleading, fake, infringing or adult-oriented, or that contains malware or malicious code, is prohibited. In particular, the following are prohibited: offering counterfeit or imitation products, or products whose sale is prohibited or subject to authorisation, on storefronts without the necessary authorisations; using other people's personal data or images without permission; creating fake images or videos that depict real people in a misleading way; content containing hate speech, violence or harassment; and any content relating to the abuse of children.
Gaining unauthorised access to the Services or AI systems, disrupting systems, exceeding security or usage limits, attempting to circumvent AI safety filters, scraping data or carrying out bulk downloads without permission, or using the Services in a way that creates a false or misleading representation is prohibited. Reverse engineering is prohibited, except for exceptions that cannot be waived by law. The authorised export and download functions offered by Folio are outside the scope of this prohibition.
If such violations are detected, access to content may be restricted, or your account may be suspended or terminated in accordance with section 10, in proportion to the nature and severity of the violation. In that case, to the extent legally possible, you will be informed of the measure taken and the reasons for it; you may challenge the decision using the contact details in section 13.
You may notify us of content that you believe is unlawful or infringes your rights by sending an email to info@quantuslabs.ai. The notice must include the link to or location of the content, the reasons for the notice, your contact details and a statement that the notice is made in good faith and with accurate information. In notices of intellectual property infringement, you must state that you are the rights holder or are authorised to act on behalf of the rights holder. We review notices within a reasonable time, take the measures we consider appropriate and communicate the outcome to the person who submitted the notice. Where manifestly unfounded notices are repeated, those notices may be disregarded.
Folio's pricing and subscription plans are set out in the App or at www.folioai.com. Subscriptions renew automatically unless cancelled by the user. If a renewal payment cannot be collected, you will be notified so that you can update your payment method; your access to paid features may be restricted until the payment is completed. For purchases made through an app store, the store's payment and grace period rules apply.
Folio offers the Solo, Pro and Max plans. The Solo plan has weekly, monthly and annual subscription options; the Pro and Max plans have monthly and annual subscription options. The availability of the options by country and purchase channel is shown on the purchase screen.
The price of the plan you choose, the currency, applicable taxes, the total amount to be charged, the billing and renewal period, the user limit, the included features, the amount of credits and the credit allocation frequency are shown on the relevant purchase screen before the purchase is completed. The subscription you purchase is governed by the terms shown and accepted by you during the transaction; the later publication of a different offer on the website or in the App does not automatically change those terms.
An annual subscription is a twelve-month subscription for which the annual fee is charged upfront, unless a different payment arrangement is clearly stated on the purchase screen. Displaying the monthly equivalent of the annual fee does not mean monthly payment or a monthly commitment. For plan upgrades or downgrades, the effective date of the change and the fee and credit adjustment are shown before the transaction; for purchases made through an app store, the store's relevant transaction rules also apply.
Some features of Folio can be used without a subscription. These features include creating and editing products with the AI assistant, creating catalogues and storefronts, and preparing PDF catalogues. The scope and limits of free use are shown in the App and in the web interface. Reasonable usage limits may be applied to prevent misuse and to maintain service quality. The scope of free use may be changed in a way that does not affect your rights under a paid subscription.
Folio applies a credit-based system to the use of certain features. The amount of credits included in your subscription and the allocation frequency are determined by the plan you choose and the offer you accept at the time of purchase; this information is shown on the relevant purchase screen in the App or on the website.
The billing period and the credit allocation period may differ. For weekly subscriptions, credits are allocated every week; for monthly subscriptions, every month. For annual subscriptions, credits are allocated every month throughout the subscription term, unless a different allocation arrangement is clearly stated on the purchase screen. Paying the annual fee upfront does not mean that twelve months' credits will be allocated at once. Credit renewal information is shown in your account.
Certain operations, such as image and video generation, are subject to credits. Credits are also deducted when these operations are started through the AI assistant. For standard image generation, one image costs 3 credits. The credit cost may change if a different AI model, a higher resolution, video or an additional operation is selected. The credit cost of video generation is determined by the AI model used, the video duration, the resolution, the option of generating with or without sound and other features; no commitment is made that a fixed per-second credit rate will apply. For operations you start directly, the applicable total credit cost is shown in the App or in the web interface before the operation is started. For operations started through the AI assistant, the credit cost may not be shown in advance; these operations are also subject to the credit costs set out above, and your current credit balance is shown in your account.
Your account may hold three types of credit:
Subscription credits do not roll over to the next period at the end of the relevant credit allocation period and are reset. Where credits are allocated monthly under an annual subscription, unused subscription credits are reset at the end of each monthly credit period.
Starter, promotional and purchased add-on credits do not expire unless a different period is stated when they are allocated, and are not affected by the periodic reset of subscription credits. Promotional and purchased add-on credits are not affected by your moving to a paid subscription or by the cancellation of your subscription. When you move to a paid subscription, any remaining starter credits are not used during the subscription and become usable again when the subscription ends. Credits are not cash or electronic money and cannot be exchanged for cash except where required by law. The absence of a time limit on credits is not a guarantee that the Services will be provided indefinitely; if the Services are discontinued entirely, section 10 applies. Credits belong to the workspace to which they are allocated; credits allocated to an organisation workspace are shared by the users in that workspace. Credits cannot be transferred to another workspace or sold.
Each new workspace is allocated starter credits once only. The amount allocated is shown in your account. The end of a subscription or a return to free use does not result in starter credits being allocated again. Introductory images created during initial setup in the mobile app are paid for from starter credits.
Promotional credits may also be granted under campaigns. The campaign conditions and the amount of credits granted are shown during the campaign. Starter and promotional credits are not eligible for cash refunds.
For an operation subject to credits, the subscription credits for the current period are used first. If these are insufficient, the remaining cost is covered from the other credits available at that time, starting with the oldest, with credits that have a time limit used first. This order ensures that credits that are due to expire or be reset are used first.
Quantus Labs Ltd may update subscription prices, plan contents, features, credit costs and the scope of the Services for reasonable reasons such as costs, third-party service providers, technical requirements, security or changes in legislation. Updates are announced in the App or on the website. Offers for new customers may apply from the date they are published.
For existing subscriptions, price changes apply at the earliest from the next subscription renewal, with the effective date and the necessary cancellation information communicated at least 30 days in advance by email or in-App notification. Cases in which the app store or legislation requires additional notice or consent are reserved. If the user does not accept the change, they may cancel their subscription before the renewal.
The core usage rights and credit allocations promised for a paid subscription period will not be reduced unilaterally. If a mandatory change is made because of legislation, security or the discontinuation of a third-party service, advance notice will be given and a reasonable alternative offered to the extent practicable. If a material reduction cannot be remedied, the user may terminate the affected service and request a pro rata refund for the prepaid period they cannot use. Changes to per-operation credit costs apply to operations started in the future; no additional credits are charged retrospectively for operations already started.
Without prejudice to mandatory consumer rights, any applicable rights of withdrawal, rights relating to defective or non-conforming services and the refund cases expressly set out in these Terms, cancelling a subscription does not in itself give rise to a refund of the fees paid. If the user cancels their subscription, they retain access to their plan until the end of the relevant paid billing period. Cases in which a subscription ends early because of a refund or for another legal reason are reserved. Cancelling the renewal of a subscription does not in itself stop the monthly credit allocations within a paid annual period. Consumer users who purchase via the web have the right to withdraw, without giving any reason, within 14 days from the date of purchase. You may send your notice of withdrawal by email to info@quantuslabs.ai; the refund will be made using the method of payment used, within 14 days of receipt of your notice.
The fact that a successfully generated and delivered output does not meet personal preferences or expectations does not in itself give rise to a right to a credit refund. Where generation was not completed because of a technical error and the output was not delivered, the credits deducted are reallocated after the transaction records have been reviewed. This distinction does not limit mandatory statutory rights relating to defective or non-conforming services. Additional credits provided on a discretionary basis do not replace these rights.
Subscriptions purchased via the web are cancelled in the subscription settings of the web account; subscriptions purchased through the Apple App Store or Google Play are cancelled through the relevant store's subscription management. Deleting the App from your device or deleting your Folio account does not automatically cancel a store subscription. Refund requests are processed according to the purchase channel: Apple's refund process is followed for Apple purchases, the relevant Google Play or developer refund process for Google Play purchases, and the Folio support process for web purchases. These processes do not limit your mandatory statutory rights.
Payments for Folio subscriptions and credits are processed securely through authorised third-party payment providers.
The rights in Folio's software, infrastructure, technology, AI models, algorithms, design, trade marks and commercial elements belong, depending on the component, to Quantus Labs Ltd or to third-party licensors. You may not use the Folio and Quantus Labs names, logos or other brand elements without our prior written permission; brand elements that appear automatically on storefronts, catalogues or sharing links during normal use of the Services are outside the scope of this prohibition.
You are granted a limited, non-exclusive, non-transferable and non-sublicensable right to access and use the Services in accordance with these Terms and the scope of your plan. This right ends when your account or subscription ends in accordance with section 10. These Terms do not grant you any intellectual property rights not expressly stated. Section 4 applies to user content and section 5 to AI outputs.
You may send us your views, suggestions and feedback on the Services through the in-App feedback screen or other communication channels. Sending feedback is not mandatory. We may use your feedback indefinitely to develop and improve the Services, without any obligation to pay you or to credit you as its source; however, we have no obligation to implement feedback. Your rights in the product images and other content you share with feedback remain protected under section 4; your personal data is processed in accordance with the Privacy Policy.
The Services are provided within the framework of the commitments expressly set out in these Terms and the standards required by applicable law. Uninterrupted access or any particular AI result is not guaranteed. These statements do not remove our obligation to provide the Services with reasonable care and skill or consumers' right to receive services that conform to the contract.
With respect to business users, to the extent permitted by law, we are not liable for any loss of profit, revenue, business opportunity, goodwill or data, or for any indirect or consequential loss. With respect to these users, our total liability for all claims arising from these Terms or the Services will not exceed the greater of the total subscription and add-on credit fees you paid for the relevant Services in the twelve months before the first event giving rise to the claim, or £100.
With respect to consumer users, we are liable under applicable law for reasonably foreseeable loss and damage arising from our breach of contract or our failure to exercise due care. The above liability cap for business users does not apply to consumers.
We are not liable for any delay in or failure to perform our obligations due to events beyond our reasonable control, such as natural disasters, epidemics, war, cyberattacks, widespread internet or power outages, decisions of public authorities, or outages of third-party cloud, hosting, infrastructure or AI service providers not caused by our fault. In such a case, we will inform you within a reasonable time and make reasonable efforts to mitigate the effects. If the outage lasts continuously for more than 30 days, you may request a pro rata refund in accordance with section 7 for the prepaid period you cannot use.
These Terms do not exclude or limit our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law. Mandatory consumer rights and rights arising from data protection legislation that cannot be limited are reserved.
You may cancel the renewal of your subscription using the method appropriate to the purchase channel described in section 7. Cancelling a subscription and deleting an account are separate actions. You can delete your account in the account settings in the App or in the web interface. It is recommended that you export your content before closing your account.
In the event of a material breach of these Terms, the account may be suspended or terminated, with a reasonable period given for you to remedy the breach where possible and appropriate. Where unlawful use, a serious security risk or ongoing harm is involved, the necessary restriction may be applied without prior notice; where legally possible, you will be informed of the reasons. If we terminate your account, you will be given a reasonable period to export your content, except in the case of unlawful content and situations posing a serious security risk.
Accounts with no active use for at least 12 months may be closed with at least 30 days' prior notice, provided that there is no active paid subscription or unused purchased add-on credit. Accessing your account during the notice period stops the closure.
If we discontinue the Services entirely, we will give at least 30 days' prior notice to the extent that legal or technical constraints allow and provide a reasonable period for you to export your data. A pro rata refund is made for any prepaid subscription period that cannot be used. For any purchased add-on credit balance that cannot be used, the portion of the fee paid corresponding to the unused part is refunded. Starter and promotional credits are not eligible for cash refunds. Refunds of payments made through a store are handled through the relevant channel's processes.
Before a user deletes their account at their own request, the consequences for any remaining paid subscription and purchased add-on credit balance are shown separately. On deletion of the account, all credits remaining in the account expire. This does not replace the cancellation of a store subscription described in section 7. The deletion and retention of data are subject to the Privacy Policy.
The closure of an account or the termination of these Terms does not affect rights and obligations that arose before the date of termination. Provisions which by their nature should continue to apply after termination, in particular the retention and indemnity provisions in section 4 and sections 8, 9 and 11, remain in force.
These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes with business users.
If you are acting as a consumer, this choice of law does not prevent you from benefiting from the mandatory consumer protections of your country of habitual residence under the applicable rules, or from bringing proceedings before the local courts that have jurisdiction by law.
These Terms, together with the Privacy Policy and the terms you accept at the time of purchase, constitute the entire agreement relating to the use of the Services. If any provision of these Terms is found to be invalid or unenforceable, this does not affect the validity of the other provisions. Our failure to exercise, or delay in exercising, any right does not mean that we have waived that right. You may not assign your rights and obligations under these Terms to anyone else without our prior written consent. We may assign these Terms to another company in circumstances such as a merger, acquisition or sale of assets, in a way that does not adversely affect your rights, and we will notify you of this. Except as expressly stated in these Terms, no third party may claim any rights under these Terms.
If you downloaded the App from the Apple App Store, the following terms also apply. These Terms are concluded solely between you and Quantus Labs Ltd, and not with Apple; Quantus Labs Ltd, not Apple, is responsible for the App and its content. Your licence to use the App is non-transferable and may be exercised only on Apple-branded devices that you own or control, in accordance with the App Store usage rules. Apple has no obligation to provide any maintenance or support services in relation to the App. If the App fails to conform to any applicable warranty, you may notify Apple; in that case, Apple will refund the purchase price of the App to you, if any, and, to the extent permitted by law, Apple has no other warranty obligation in relation to the App. Quantus Labs Ltd, not Apple, is responsible for investigating, defending and settling any claims relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, claims arising under consumer protection or privacy legislation, and claims that the App infringes third parties' intellectual property rights. You represent that you are not located in a country that is subject to a US Government embargo or that has been designated by the US Government as a terrorist-supporting country, and that you are not listed on any US Government list of prohibited or restricted parties. When using the App, you must comply with the third-party agreements applicable to you, such as your mobile data contract. You may send us any questions and complaints relating to the App using the contact details in section 13. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, will have the right to enforce these Terms against you as a third-party beneficiary.
If you downloaded the App from Google Play, these Terms are concluded between you and Quantus Labs Ltd, and not with Google; Quantus Labs Ltd, not Google, is responsible for the App, and your use of the App is also subject to the applicable Google Play terms.
We may update these Terms for reasonable reasons such as legislation, security, technical requirements or changes to the Services. The current text is published in the App or on the website together with its version and effective date.
Changes that materially affect the rights of existing users will, as a rule, be communicated by email or in-App notification at least 30 days before they take effect. In cases of urgent security or legal necessity, the necessary changes may be made at shorter notice; the reason and impact will be explained appropriately.
For changes to prices, plans and credits, the specific rules in section 7 apply. Where necessary, explicit consent is also obtained. Publication on the website alone or continued use does not replace such consent where consent is separately required by law. The termination and refund rights that may apply if material adverse changes are not accepted are determined in accordance with sections 7 and 10 and mandatory legislation.
